Terms and Conditions
These Terms govern use of MercuryReach and the property communications sent through the service, including the MercuryReach Property Notifications messaging program.
1. Agreement and definitions
MercuryReach is operated by Mercurion Labs, LLC. By accessing or using the website or service, you agree to these Terms and our Privacy Policy. If you use MercuryReach for an organization, you represent that you have authority to accept these Terms for that organization.
In these Terms, a Customer is an organization with a MercuryReach workspace, an Authorized User is a person permitted to use that workspace, and a Recipientis a person who receives or replies to a communication sent through MercuryReach.
2. Accounts and authorized access
You must provide accurate account information, protect your credentials, use available security controls, and promptly report suspected unauthorized access. Customers are responsible for Authorized Users, assigned roles, property access, contact imports, and activity performed through their workspace. You may not access another organization, property, account, or data set without permission.
3. Customer messaging responsibilities
Before sending a communication, each Customer must:
- Obtain and preserve the consent required for each Recipient, sender, channel, and message subject.
- Clearly identify the property organization or other party that obtained consent and is sending the notice.
- Keep contact, consent, opt-out, suppression, property, and audience records accurate and current.
- Send only lawful, wanted communications that match the purpose for which consent was obtained.
- Honor opt-outs and other communication preferences promptly across every applicable sender and channel.
- Follow applicable law, carrier rules, provider policies, and MercuryReach sending safeguards.
Informational property messages may still require prior express consent. Promotional or marketing messages may require separate prior express written consent. Importing a phone number into MercuryReach does not by itself establish consent.
4. MercuryReach Property Notifications SMS program
By opting in to a specific property organization's messaging program, a Recipient agrees to receive recurring automated SMS property notifications from that identified organization at the mobile number provided.
Consent applies only to the identified sender and message purpose. Consent is not a condition of purchasing MercuryReach or receiving property services.
Messages may include maintenance and utility notices, safety and weather alerts, inspections, community updates, account or payment reminders, event information, delivery confirmations, and responses to Recipient inquiries. Marketing content is sent only when the sender has the separate consent required for it.
- Message frequency varies based on the property, events, and the communications selected by the sender.
- Message and data rates may apply.
- Text STOP at any time to unsubscribe from text messages sent from that number.
- Text HELP for help, or email help@support.mercuryreach.net.
- Carriers are not liable for delayed or undelivered messages.
A final confirmation may be sent after an opt-out. No further texts may be sent from that program unless the Recipient provides new valid consent or uses a supported opt-in keyword. Opt-out handling can depend on the sending number and messaging service, so Customers must also maintain suppression records inside MercuryReach.
5. Voice communications
Customers may use MercuryReach for automated or text-to-speech voice notices when they have the consent and authority required by law. Call frequency varies, and standard carrier or plan charges may apply. Recipients should contact the organization identified in a call to change voice-notice preferences.
MercuryReach is not an emergency service, does not replace 911 or local emergency authorities, and should not be the only channel used for life-safety communications.
6. Acceptable use
You may not use MercuryReach to:
- Send unlawful, deceptive, harassing, abusive, discriminatory, unsolicited, or unwanted communications.
- Buy, sell, rent, transfer, or use purchased consent or contact lists.
- Evade opt-outs, carrier filtering, rate limits, tenant boundaries, permissions, or security controls.
- Impersonate a sender, conceal sender identity, or falsify delivery, consent, billing, or audit information.
- Transmit malware, phishing, illegal content, or content that violates another person's rights.
- Probe, disrupt, reverse engineer, overload, scrape, or misuse the service except as permitted by law.
7. Fees, third-party services, and availability
Paid service terms, limits, usage charges, billing cycles, and cancellation terms are stated in the applicable order form, plan, checkout, or written agreement. Telecommunications, carrier, payment, translation, email, and other providers may impose separate limits, fees, or policies.
We work to keep MercuryReach available and delivery records accurate, but communications may be delayed, filtered, rejected, duplicated, or unavailable because of carriers, providers, networks, Recipient devices, inaccurate data, emergencies, maintenance, or events outside our control. A displayed status is operational information, not a guarantee that a person read or heard a notice.
8. Content, feedback, and intellectual property
Customers retain their rights in contact records, message content, templates, files, and other material they submit. Customers grant Mercurion Labs, LLC the limited rights needed to host, process, transmit, back up, secure, and support that material. Customers represent that they have the rights and permissions needed for what they submit.
MercuryReach, its software, branding, documentation, and service design are owned by Mercurion Labs, LLC or its licensors. Beta feedback may be used to investigate, repair, secure, and improve the product as described when the feedback is submitted and in the Privacy Policy.
9. Suspension, disclaimers, and liability
We may limit or suspend access when reasonably necessary to protect Recipients, Customers, providers, the service, or the public; respond to suspected abuse or legal requirements; prevent unauthorized live sending; or address overdue fees. Where practical, we will provide notice and a path to resolve the issue.
To the maximum extent permitted by law, MercuryReach is provided on an "as is" and "as available" basis. We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes warranties or liability that cannot lawfully be excluded.
To the maximum extent permitted by law, Mercurion Labs, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business interruption. Any aggregate liability will be limited as stated in the Customer's applicable order form or written agreement. If no separate agreement applies, liability is limited to the amount paid for the service during the twelve months before the event giving rise to the claim.
10. Changes, additional terms, and contact
An order form or written agreement may include additional terms. If it conflicts with these Terms, the signed agreement controls for that Customer. Applicable law and venue are those stated in that agreement. If no signed agreement addresses them, the laws and courts with jurisdiction over Mercurion Labs, LLC apply, without regard to conflict-of-law rules.
We may update these Terms as the service, providers, or legal requirements change. The date at the top identifies the current version. Continued use after an update takes effect constitutes acceptance where permitted by law.
